With the Economic Freedom Act (Law No. 13,874/2019), the requirement for a director or administrator residing in Brazil has been eased for foreign companies. Now, they can appoint administrators residing abroad, provided that:
  • They have a proxy residing in Brazil, with powers to represent the company before regulatory bodies and receive judicial and administrative summons;
  • They comply with all regulatory obligations required by Brazilian legislation.
